1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern access to and use of BrandedQR, including its website, application, QR code creation and management features, analytics services, subscription plans, and MCP server integrations (collectively, the “Service”).

BrandedQR is operated by:

Gilson Roberto Bellon
Vico Solferino, 12

73039 Tricase (LE)

Italy

Email: gilson@grbsystem.com

The Service is offered both to consumers and to businesses. If you use BrandedQR on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf.

By accessing or using BrandedQR, you agree to these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

BrandedQR is an online platform that allows users to create, customize, manage, and use QR codes.

Depending on the selected plan and available features, the Service may include:

  • QR code creation and management.
  • QR code customization and branding.
  • Destination URL management.
  • QR code scan tracking and analytics.
  • Account and subscription management.
  • Business and custom QR code solutions.
  • MCP server functionality for supported integrations and automated workflows.

Features may change, be improved, or be discontinued where reasonably necessary, subject to applicable law and any contractual commitments.

3. Account Registration

Some features of BrandedQR may be available without registration. Other features require an account.

When creating an account, you agree to:

  • Provide accurate and current information.
  • Keep your login credentials confidential.
  • Take reasonable steps to protect your account.
  • Notify us if you suspect unauthorized access.
  • Accept responsibility for activities performed through your account, subject to applicable law.

You must not create accounts for fraudulent purposes or impersonate another person or organization.

We may restrict or suspend accounts where there is reasonable evidence of fraud, abuse, security risks, or serious violations of these Terms.

4. Subscription Plans

BrandedQR offers the following plans:

4.1 Free Plan

The Free plan provides access to the basic features made available without payment, including static QR code creation and export.

The features and usage limits of the Free plan are described in the application and may change over time.

4.2 Pro Plan

The Pro plan is a paid subscription that provides additional features and capabilities beyond the Free plan, including the paid styling and preview path.

The Pro plan does not include QR code scan analytics, and it does not include dynamic QR codes.

The features, price, and applicable limits are displayed in the application before purchase.

4.3 Business Plan

The Business plan is a paid subscription that includes the features of the applicable paid offering, including dynamic QR codes with editable destinations and QR code scan analytics.

The exact features, price, and applicable limits are displayed in the application before purchase.

4.4 Plan changes

BrandedQR may introduce additional plans, features, usage limits, or packages.

Any material changes affecting an existing paid subscription will be communicated where required by law or contract.

5. Subscription Fees and Payments

Paid Pro and Business subscriptions are billed monthly through Stripe.

By purchasing a paid subscription, you authorize the applicable recurring payment using the payment method provided during checkout.

The following conditions apply:

  • The applicable subscription price is displayed before payment.
  • Before checkout you are asked to accept these Terms and the Privacy Policy, and to request that the paid digital service start immediately.
  • Payments are processed securely through Stripe.
  • Subscriptions automatically renew monthly unless cancelled.
  • Applicable taxes, including VAT where required, will be shown or handled in accordance with applicable law.
  • BrandedQR does not store complete payment card numbers or card security codes on its own servers.

Stripe processes payments under its own terms and privacy policy:

https://stripe.com/privacy

If a payment fails, access to paid features may be restricted or suspended until the payment issue is resolved, subject to applicable law.

6. Automatic Renewal

Pro and Business subscriptions automatically renew at the end of each monthly billing period.

The renewal charge is made using the payment method associated with the subscription.

You are responsible for reviewing the subscription price and renewal conditions before purchasing.

If subscription prices change, we will provide notice where required by applicable law and obtain consent where legally necessary.

7. Cancellation Policy

You may cancel your Pro or Business subscription at any time through the subscription management or cancellation functionality provided within your BrandedQR account.

Ordinary cancellation and the statutory right of withdrawal are different:

  • Withdraw from the contract ends a qualifying consumer contract during the withdrawal period and requests a refund.
  • Cancel renewal stops the next monthly charge. Paid features normally remain available until the end of the current paid period.

7.1 How to cancel

To cancel a subscription:

  • 1. Sign in to your BrandedQR account.
  • 2. Open Billing: https://app.grbsystem.com/billing.
  • 3. For the statutory withdrawal, use the button labelled Withdraw from the contract (in Italian, Recesso dal contratto). It stays visible on that page. It can be used during the withdrawal period described in Section 8.
  • 4. To stop the next renewal, use Cancel renewal, or Manage in Stripe portal for the card, invoices, and renewal cancellation at the end of the paid period.
  • 5. Review the electronic confirmation and its date. Keep a copy.

Where applicable, subscription management may be supported by Stripe's billing infrastructure. The Stripe portal is the renewal, card, and invoice tool. It is not the statutory withdrawal function.

If the cancellation functionality is temporarily unavailable, you may contact:

gilson@grbsystem.com

Contacting us by email is an alternative assistance method and does not replace any cancellation or withdrawal functionality required by law.

7.2 When cancellation takes effect

Unless otherwise required by law or agreed in writing, cancellation of renewal prevents the next automatic renewal.

Paid features normally remain available until the end of the current paid billing period.

After that date, the account may revert to the Free plan.

7.3 Refunds

Ordinary subscription cancellation does not automatically generate a refund for a billing period already paid.

However, this provision does not limit any statutory refund, withdrawal, or other consumer rights that apply under applicable law.

Where a refund is legally required or expressly approved, it will be processed through the appropriate payment method.

7.4 Cancellation confirmation

After you use Withdraw from the contract or Cancel renewal, Billing shows an electronic confirmation with the date and time and the effective result. Keep a copy of that confirmation.

Customers should retain this confirmation for their records.

8. Consumer Right of Withdrawal

If you are a consumer purchasing BrandedQR services remotely, you may have a statutory right to withdraw from the contract within 14 days, in accordance with applicable consumer protection law, including the Italian Consumer Code.

For service contracts, this period generally begins on the date the contract is concluded.

The online withdrawal function is the Withdraw from the contract button on the Billing page. It is labelled in Italian Recesso dal contratto, it remains easy to find on that page, and it produces an electronic confirmation with the date. It is distinct from Cancel renewal.

Where you request that a digital service begins during the withdrawal period, additional consent, acknowledgment, and legal requirements may apply. Checkout asks you to request immediate start and to read the withdrawal information before payment. That request does not, by itself, remove the statutory withdrawal right.

The availability of digital features does not automatically eliminate statutory withdrawal rights. Any applicable exception or loss of a withdrawal right must satisfy the requirements of the law.

Where the right of withdrawal applies, you may exercise it through the online withdrawal function or another legally permitted method, including email to gilson@grbsystem.com.

Nothing in these Terms excludes or limits mandatory consumer rights.

9. Custom Business Packages

BrandedQR may offer customized services and business packages outside the standard Free, Pro, and Business plans.

These packages may include:

  • Custom QR code designs and branding.
  • Tailored QR code quantities.
  • Custom analytics or reporting requirements.
  • Business-specific configurations.
  • Additional support or implementation services.
  • Other agreed technical or commercial services.

Custom packages are arranged individually by contacting:

gilson@grbsystem.com

Each proposal may specify:

  • Scope of work and deliverables.
  • Price and payment terms.
  • Duration and renewal arrangements, if applicable.
  • Support and maintenance conditions.
  • Any additional service requirements.

A custom package becomes binding when the relevant proposal or agreement has been accepted by both parties.

Where a separate signed agreement exists, its specific terms prevail over these Terms in the event of a conflict, unless mandatory law provides otherwise.

10. MCP Server and Third-Party Integrations

BrandedQR provides an MCP (Model Context Protocol) server so compatible applications, including ChatGPT, can call supported BrandedQR tools.

The official interface is the Streamable HTTP endpoint shown on the Billing page as the MCP address. Connect only through that interface and the authentication methods described here.

Current tools and access:

  • create_qr_code, customize_qr_code, and add_qr_logo can be used without an account. They work on a temporary draft.
  • get_qr_preview requires a signed-in Pro or Business plan and a BrandedQR access key.
  • create_dynamic_qr requires a signed-in Business plan and a BrandedQR access key. It creates a dynamic QR code whose destination can be changed later.

Access keys are created on the Billing page. A key begins with bq_. Pass it as access_token when a tool asks for it. Creating a new key replaces the previous key. A signed-in session token may be used in the same field. Drafts are temporary and may be lost if the server restarts.

MCP access is also subject to the following conditions:

  • You may only connect through officially supported interfaces and authentication methods.
  • You must keep access credentials, tokens, and other authentication information secure.
  • You must not share credentials with unauthorized persons.
  • You must not use integrations to access another user's information without authorization.
  • You must not attempt to bypass security controls, permissions, usage limits, or authentication.
  • You must not use MCP functionality for unlawful activity, spam, fraud, or abusive automated requests.

MCP functionality may allow authorized clients to perform actions or retrieve information according to the permissions granted and tools made available by BrandedQR.

You are responsible for reviewing the actions requested by an AI assistant or connected application before authorizing them, particularly where those actions may create, modify, delete, or publish QR codes or other information.

You remain responsible for ensuring that your use of connected AI systems and third-party integrations complies with applicable law and the rights of other people.

We may restrict, suspend, modify, or discontinue MCP access where reasonably necessary for security, maintenance, abuse prevention, or legal compliance.

MCP functionality may depend on third-party applications and services. BrandedQR does not control their independent operation, availability, or data processing practices.

11. Acceptable Use

You agree to use BrandedQR lawfully and responsibly.

You must not use the Service to:

  • Create QR codes directing users to phishing, malware, or fraudulent websites.
  • Distribute illegal, deceptive, or harmful content.
  • Violate intellectual property, privacy, or other third-party rights.
  • Distribute spam or facilitate unauthorized advertising.
  • Impersonate individuals, companies, or public organizations.
  • Circumvent security systems or access restrictions.
  • Interfere with the operation or availability of BrandedQR.
  • Attempt unauthorized access to databases, accounts, or infrastructure.
  • Perform activities that violate applicable laws or regulations.

We may investigate suspected misuse and take proportionate action, including restricting QR codes, suspending accounts, or terminating access where justified.

12. QR Code Content and User Responsibilities

You are responsible for the content, destination URLs, and other information included in QR codes you create or manage.

You must ensure that:

  • You have the necessary rights to use uploaded logos, images, and other materials.
  • QR code destinations comply with applicable law.
  • Your QR codes do not mislead, defraud, or harm users.
  • You have an appropriate legal basis for processing personal data through your QR codes.
  • You provide any notices or permissions required when collecting information from people who scan your QR codes.

BrandedQR provides QR code creation and management tools. It does not automatically verify or endorse every destination URL or item of content supplied by users.

13. QR Code Analytics

Scan analytics are included in the Business plan, subject to the features displayed in the application. They are not included in the Free or Pro plans.

Analytics may include technical information such as:

  • Scan date and time.
  • QR code identifier.
  • IP address.
  • Approximate geographic location.
  • Device and browser information.
  • Referrer information, where available.

Analytics are provided for informational and operational purposes.

Geographic and device information may be approximate and should not be treated as guaranteed or perfectly accurate.

Business users are responsible for ensuring that their use of analytics complies with applicable privacy and data protection laws, including providing appropriate notices to individuals where required.

14. Intellectual Property

The BrandedQR platform, including its software, interface, design, branding, logos, and original content, is owned by or licensed to the operator and protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, reverse engineer, or commercially exploit protected elements of the Service without prior written permission, except where permitted by law.

You retain ownership of content, logos, and materials that you upload or provide to BrandedQR.

By submitting content, you grant BrandedQR a limited, non-exclusive permission to host, process, display, and use that content only as reasonably necessary to provide and maintain the Service.

15. Service Availability and Maintenance

We aim to provide a reliable and secure service, but uninterrupted availability cannot be guaranteed.

BrandedQR may occasionally experience:

  • Scheduled maintenance.
  • Technical interruptions.
  • Infrastructure failures.
  • Third-party service outages.
  • Network or connectivity problems.
  • Security incidents or emergency maintenance.

We may temporarily restrict access to parts of the Service when reasonably necessary to maintain security, stability, or functionality.

Where reasonably possible, we will seek to minimize disruption.

16. Third-Party Services

BrandedQR relies on third-party providers, including:

  • Vercel for frontend hosting.
  • Render for backend hosting.
  • Supabase for database and cloud storage.
  • Stripe for payment processing.

These services are subject to their own terms and policies.

BrandedQR is not responsible for independent changes, interruptions, or failures of third-party services, except where responsibility cannot legally be excluded.

17. Privacy and Personal Data

Personal data is processed in accordance with the BrandedQR Privacy Policy:

https://app.grbsystem.com/privacy

The Privacy Policy explains the categories of information collected, purposes of processing, service providers, retention, international transfers, and applicable data protection rights.

By using BrandedQR, you acknowledge that you have had the opportunity to read the Privacy Policy.

18. Suspension and Termination

We may suspend or terminate access to BrandedQR where:

  • These Terms are seriously violated.
  • The Service is used for unlawful purposes.
  • There is a material security risk.
  • Fraudulent activity is suspected.
  • Access must be restricted to comply with legal obligations.

Where appropriate and legally permitted, we will provide notice and an opportunity to resolve the issue.

You may stop using the Service at any time.

Paid subscription cancellation is governed by Sections 7 and 8.

Termination does not remove any rights or obligations that arose before termination.

19. Disclaimer and Limitation of Liability

BrandedQR is provided on an “as available” basis, subject to mandatory legal protections.

We do not guarantee that:

  • The Service will always be available without interruption.
  • Every QR code will be compatible with every scanning device.
  • Analytics will always be complete or perfectly accurate.
  • Third-party integrations will always operate correctly.
  • Every external destination linked through a QR code will remain accessible.

To the extent permitted by applicable law, we are not responsible for indirect or consequential losses resulting from misuse of the Service, external websites, unauthorized user content, or third-party service failures.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, intentional misconduct, or other non-excludable legal responsibilities.

Nothing in this section limits mandatory consumer rights.

20. Changes to the Service and Terms

We may update these Terms to reflect changes in the Service, pricing, subscription features, integrations, or applicable legislation.

The latest version will be published at:

https://app.grbsystem.com/terms

The updated date will be displayed at the beginning of the document.

Where changes materially affect existing users or paid subscriptions, we will provide notice or obtain consent where required by law.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy, without prejudice to mandatory consumer protection provisions that may apply.

Where a user qualifies as a consumer, the competent courts and jurisdiction will be determined in accordance with applicable mandatory consumer protection rules.

For business users acting in the course of their professional activity, the competent jurisdiction will be determined under applicable Italian law, subject to any valid separate agreement.

Subscription Cancellation – Quick Guide

Customers can manage a Pro or Business subscription from Billing:

  • 1. Sign in to BrandedQR.
  • 2. Open Billing.
  • 3. To withdraw during the statutory period, choose Withdraw from the contract and keep the electronic confirmation.
  • 4. To stop future monthly renewals, choose Cancel renewal and keep the electronic confirmation.
  • 5. The Stripe portal can update the card, show invoices, and cancel renewal at the end of the paid period. It does not replace the withdrawal button.
